In this seminal opinion, the Delaware Court of Chancery granted an injunction pending the disclosure of financial projections used by the seller’s bankers in formulating its fairness opinion.

Following The Brualdi Law Firm’s P.C.’s obtaining of a temporary restraining order enjoining the tender offer from closing, an additional $3.25 million consideration was paid to Protection One shareholders in connection with the Tender Offer.
